Sweepstakes Rules and Regulations
By submitting an online entry, the sweepstakes entrant understands that these Rules form a legally enforceable agreement with VersionOne, and intends to be bound hereto. Please read the remainder of these Rules carefully, as they detail your rights and obligations under this agreement.
1. REQUIREMENTS:
NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR TO WIN. ALL U.S. AND FEDERAL, STATE, LOCAL AND MUNICIPAL LAWS AND REGULATIONS APPLY. VOID WHERE PROHIBITED BY LAW.
2. HOW TO ENTER:
To participate in the VersionOne “Real Men of Agile Genius Sweepstakes” entrants must view the “Real Men of Agile Genius Video” and submit an answer to a question about the video.
This Sweepstakes will begin June 1, 2010, and is scheduled to end June 30, 2010. VersionOne is not responsible for technical, hardware, software or telephone malfunctions of any kind, lost or unfavorable network connections, failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the sender or by any of the equipment or programming associated with or utilized in this drawing which may limit the ability to participate or by any human error which may occur in the processing of the entries in this drawing or otherwise.
3. ELIGIBILITY:
Entrants must be over the age of majority in their jurisdiction of residence or must have parent or guardian consent to enter.
4. PRIZES:
(a.) One (1) Grand Prize winner will receive:
One (1) Apple iPad
Approximate retail value of prize is five hundred and forty United States dollars ($540 USD).
(b.) Three (3) Second Place winners will receive:
One (1) Flip HD Video Camera
Approximate retail value of prize is one hundred and ninety-nine United States dollars ($199 USD)
(c.) Ten (10) Third Place winners will receive:
One (1) T-shirt from the www.AgileOutfitter.com website
Approximate retail value of prize is fifteen United States dollars ($15 USD)
5. ODDS:
The odds of winning a prize depend on the number of eligible entries in the drawing. There are three types of prizes available to be won, as described above. Prizes will be awarded in the manner described in these Rules.
Each prize will be awarded. Prizes awarded to entrants that are ineligible to receive them for any reason at law or under these Rules will be awarded to other entrants consistent with these Rules.
6. WINNER SELECTION:
All entries submitted will be screened by VersionOne for compliance with these Rules. Those entries not meeting these Rules will be disqualified without further notice. All entrants will be considered for the prizes. The winning entries will be randomly selected from the total chances earned by all drawing entrants. By entering, entrants agree that the decisions of VersionOne with respect to the selection of the winners and in regard to all matters relating to this drawing (including, without limitation, regarding eligibility) shall be final and binding on all entrants. In return, VersionOne commits to exercise good faith in the analysis of eligibility to win prizes and to ensure complete fairness in the drawing.
7. WINNER NOTIFICATION AND ACCEPTANCE:
Winning entrants will be notified via Email. If a selected entrant cannot be reached within 10 days following the drawing, he or she will forfeit any right to a prize and the prize will be awarded to another entrant.
The winner and his or her city, state and country of residence may also be posted on the VersionOne Facebook page, twitter page and/or website at www.versionone.com and will remain so posted for a minimum of 10 days.
A winner may waive his or her right to receive a prize. Prizes are non-assignable and non-transferable. No substitutions will be allowed, except as stated herein. VersionOne reserves the right to substitute all or part of a prize with one of equal or greater value. Except as expressly provided otherwise in these Rules, the winners are solely responsible for the reporting and payment of any taxes on prizes.
VersionOne will arrange for delivery of prizes to winners. Shipping and handling expenses to deliver these prizes to the winners will be paid by VersionOne. The shipping method chosen is in the sole discretion of VersionOne.
8. PARTICIPATION:
Participation in the drawing constitutes an agreement by each entrant to comply with these Rules. VersionOne reserves the right to cancel the drawing (after awarding any prizes that are due) at any time. VersionOne reserves the right to cancel or modify the drawing (with or without awarding any of the prizes) if it determines, in its sole discretion, but in good faith, that fraud or technical failures or other difficulties or errors have destroyed the integrity of the drawing or rendered the drawing incapable of being conducted as planned. Without limiting the generality of the foregoing, VersionOne reserves the right in its sole discretion to cancel, terminate or suspend the online portion of the drawing should an unauthorized intervention or other cause beyond the control of VersionOne affect the administration or proper conduct of the Sweepstakes.
9. CONSTRUCTION:
Subject to applicable law, all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of the entrant and the Committee in connection with the Sweepstakes, shall be governed by, and construed in accordance with the laws of the State of Georgia and the laws of the United States applicable therein, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of Georgia, or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the State of Georgia, and entrants irrevocably submit to the exclusive jurisdiction of the courts of Georgia with respect to any matter arising hereunder or related hereto. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
10. GENERAL RELEASE:
By entering the Sweepstakes, entrants release (i) VersionOne, and (ii) the directors, officers, employees, representatives and agents of those in (iii) (collectively, the “Releasees”) from, and waive, any liability whatsoever for any claims, costs, injuries, losses, or damages of any kind (including cost and expenses related thereto) arising out of or in connection with the Sweepstakes, the acceptance, possession, or use of any prize, and/or the Authorized Acts defined below (including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, intellectual property, defamation, or portrayal in a false light).
Entrants agree that they will not make any claims against the Releasees or any claim against any third party which may result in a claim against any of the Releasees in respect of any matter in any way relating to this Sweepstakes or the prizes or the Authorized Acts.
11. LICENSING:
By participating, each entrant grants VersionOne (including its successors and assigns) the non-exclusive right, license and authorization to reproduce, hold, use, disclose, distribute, broadcast, publish, exhibit, publicly present or perform, communicate to the public by telecommunication, and/or promote in any manner whatsoever, including licensing or authorizing others to do so, his/her name, city/town, state and country of residence, the fact that he/she submitted an entry in this Sweepstakes and/or, if he/she is a winner of this Sweepstakes, his/her photograph/likeness and/or the fact that he/she is a Winner of this Sweepstakes (collectively, the “Information”), in and in connection with any publicity, advertising or promotion of any nature, and in any manner or media (including, without limitation, on the VersionOne website and in advertising and promotional materials prepared by or on behalf of VersionOne, except where prohibited by law. (For clarification of our commitment to your privacy, the Information does not include an entrant’s full mailing address, e-mail address or phone number.) The foregoing are collectively referred to as the “Authorized Acts.” Without limiting the generality of the foregoing, each entrant grants VersionOne the right to edit, amend, modify or alter the Information in connection with the Authorized Acts, and such editing, amending, modifying and altering forms part of the Authorized Acts. Each entrant agrees to indemnify and hold harmless the Releasees from and against any and all claims and liability that may arise from the Authorized Acts. Each entrant acknowledges and agrees that he or she shall have no right of inspection or approval, no claim to any compensation, and no claim arising out of the Authorized Acts.
12. SPONSOR:
This Sweepstakes is sponsored and conducted and promoted by VersionOne, 6220 Shiloh Road, Suite 400, Alpharetta, GA 30005. VersionOne is responsible for typographical, printing or other inadvertent errors in these Rules or in the Sweepstakes materials. 13. PRIVACY:
The personal information you are providing in connection with participating in this Sweepstakes is being and may be collected, held and used by VersionOne, and/or any of their respective third party service providers (including advertising and promotional agencies) and/or, as applicable, any media, and disclosed between any of them, for purposes of (i) administering this Sweepstakes, the awarding and delivery of prizes, and announcing the winners in the manner set out above in paragraph 7 (including sending a list of winners to those who request it); (ii) the Authorized Acts (defined above in paragraph 11); and (iii) if you agreed on your entry form to receive promotional materials relating to VersionOne, for purposes of sending you such materials.
